Lawyer for a Private Equity firm (Cyprus)
Company: A private equity firm in Limassol, Cyprus with their operations primarily focus on the EU, USA, LATAM and high-tech hubs like Cyprus, the UK, and MENA.
Responsibilities:
• Structure deals across various jurisdictions and provide legal support for investment activities, including equity and debt financing, mergers, acquisitions, and joint ventures.
• Draft, review, and negotiate transactional documents (e.g., LOI, SPA, SHA, etc.) and other related legal documentation.
• Manage and coordinate complex investment projects, ensuring timely execution and alignment with business objectives.
• Collaborate with investment directors and other key stakeholders to facilitate efficient deal closures.
• Ensure compliance with applicable laws and regulations in multiple jurisdictions.
• Liaise with external legal advisors to secure efficient and effective legal support.
• Oversee corporate governance procedures for group entities, ensuring adherence to high governance standards.
• Conduct legal research and provide analysis on issues affecting investment transactions and operations.
• Work seamlessly with the legal team, fostering a collaborative and productive work environment.
• Optionally, contribute to developing internal policies and implementing legal-tech solutions.
Ideal Candidate Profile:
• 3+ PQE with a background in international law firms, PE or VC funds, or family offices.
• Law degree, preferably with an LLM degree from a leading university in Europe, the USA, or the UK.
• Proven expertise in handling legal aspects of commercial and investment transactions, particularly in PE, M&A, and VC deals.
• Familiarity with international private law and experience across regions such as Europe, the USA, LATAM, and APAC.
• Fluency in English is mandatory, knowledge of Russian is an advantage.
• In-depth knowledge of international corporate law, with a solid understanding of English law.
• Proficiency in tax legislation, international tax standards, and intellectual property law is a plus.
• Analytical, proactive mindset focused on delivering results.
• Strong problem-solving, drafting, and negotiation skills.
• Ability to handle multiple projects and deadlines efficiently.
• Experience conducting due diligence independently or with external advisors.
• Team-oriented approach with strong time management and self-discipline.
• Excellent communication skills, particularly with business stakeholders and external consultants.
• Adaptability to thrive in a dynamic, fast-growing environment.
• Strong organizational and interpersonal abilities.
• Competence in managing complex legal projects and collaborating with a diverse team.
Location The role is based in Limassol, Cyprus, with onsite work preferred, though remote work is an option.
