Age & experience

Minimum age: 21 years.
Maximum: 75 years (extendable with shareholder approval).
Experience needed: about 10 years in a relevant field is sufficient.
In fact, there are directors in their early 30s already serving on boards:

Binoy Parikh became an independent director at 31 (Sarda Energy & Minerals).
Upasana Kamineni Konidela was inducted at 34 as woman independent director at Zydus Lifesciences.
And there are senior professionals in their 60s and 70s serving too, because companies deeply value their wisdom, networks and credibility.

Rule 5 of the Companies (Appointment and Qualification of Directors) Rules, 2014 further clarifies that an independent director must have appropriate skills, knowledge or experience in one or more of these areas:

🔹Finance
🔹Law
🔹Management
🔹Sales
🔹Marketing
🔹Administration
🔹Research
🔹Corporate Governance
🔹Technical operations or other disciplines related to the company’s business

The exam requirement

You need to register on the MCA/IICA databank and clear the self-assessment proficiency test within 12 months.

👉 50 questions, 100 marks, 75 minutes.

👉 Pass mark: 50%.

👉 Preparation: 25–30 hours is usually enough.

Certain categories of professionals are exempt (lawyers, CAs, CS, cost accountants in practice for 10+ years, regulators, or those who’ve served as directors of large public companies).

But remember: even if you’re exempt, most promoters and shareholders prefer candidates who have cleared the exam. It’s seen as a mark of seriousness and credibility.

👉 “Am I even eligible to become an Independent Director?”

The answer is simpler than you think.

What the law says:

Section 149(6) of the Companies Act, 2013 states that an independent director must:

1. Be a person of integrity and possess relevant expertise and experience.
2. Have no material pecuniary relationship with the company or its sister concerns in the current year or the previous two years.
